Terms of Service (B2B)
These Terms of Service (“Terms”) govern all business-to-business transactions with EH Online (UK) Ltd (“we”, “us”, “our”). By opening a trade account, placing an order, or supplying goods to us, you agree to be bound by these Terms.

2. Customers
We only trade with registered businesses.
We do not supply goods directly to consumers.
3. Orders
All orders are subject to acceptance and availability.
A contract is formed only when we confirm acceptance in writing (email or PO).
4. Pricing & Payment
Prices are quoted exclusive of VAT unless otherwise stated.
Payment is due prior to dispatch
Bank transfer is the preferred method of payment.
5. Delivery & Risk
Goods are dispatched from the UK.
Risk passes to the buyer on delivery to the agreed address or carrier.
Delivery dates are estimates only; we are not liable for delays beyond our reasonable control.
6. Title of Goods
Ownership of goods remains with EH Online (UK) Ltd until payment is received in full.
7. Returns & Warranty
Returns are only accepted by prior written agreement.
Goods are supplied as described and in good faith; manufacturer warranty applies where stated.
We are not liable for indirect or consequential losses arising from resale.
8. Supplier Terms (for those supplying us)
Suppliers must warrant that goods supplied are genuine, authentic, and free from third-party claims.
We reserve the right to return or reject goods that do not meet compliance or quality standards.
9. Compliance
We are VAT registered and EORI enabled.
We comply with all applicable UK and EU regulations regarding import, VAT, and data protection (ICO registered).
10. Limitation of Liability
Our liability is limited to the invoice value of the goods supplied.
We are not responsible for loss of profits, goodwill, or indirect damages.
11. Governing Law
These Terms are governed by the laws of England & Wales.
Any disputes will be subject to the exclusive jurisdiction of the courts of England & Wales.
